Dear Sir or Madam:

China maritime Museum (Preparatory) (hereinafter called ¡°the Owner¡±) entrusts Shanghai Maritime University (hereinafter called ¡°the Agent¡±) to carry out the International Proposal Collection for Exhibits Layout of China Maritime Museum (hereinafter called ¡°the Project¡±)

The Collection is opened to the public. Interested Applicants can submit the Application Documents to the Owner or the Agent before 15:00 on July 18, 2007. The Owner and the Agent will select the suitable candidates to participate the Collection by comparing the experiences, personnel, capabilities and etc. of each applicant depending on the information provided in the Application Documents. The Owner and the Agent have not the obligation to explain the reason about failure of the applicants.

Detailed information about the Project and the Collection are as follows:

1. Design Requirements:
   The design requirements shall refer to Attachment 1 ¡°the Design Program¡± and Attachment 2 ¡°Exhibition Enumeration¡±. The attachments are only draft documents. The final documents subject to the Contract.
2. Candidates:
   By comparing the information provided in the Application Documents of each applicant, the Owner will select 4-5 candidates to participate the Collection. However the Owner reserves the right to reject all applicants including candidates before signing of the Contract without giving any explanation.
3. Working Schedule:
   July 18, 2007 Submission of Application Documents
   July 25, 2007 Selection of Candidates
   August 1, 2007 Signing of Contract, Site Visiting and Clarification Meeting
   October 9, 2007 Submission of Design Documents
   The final working schedule subjects to the Contract.
4. Proposal Evaluation:
   The evaluation of design proposals will be charged by Evaluation Committee formed by representatives of the Owner and experts. The Committee will analyze and give comments to each proposal based on the design requirements. One 1st prize, one 2nd prize and one 3rd prize will be recommended by the Committee. It is possible that part or all prizes will be vacant. The design consultant who wins the 1st prize is possible to have priority to participate the design development in the next stage.
5. Fees:
   (1) 1st prize proposal: £¤750,000.00
   (2) 2nd prize proposal: £¤450,000.00
   (3) 3rd prize proposal: £¤300,000.00
   (4) Remained proposal: £¤7,5000.00
   (5) The above fee includes all cost, profit and taxes of the designer. There will be no extra reimbursement from the Owner.
6. Application Documents:
   (1) The form of Application Documents shall refer to Attachment 3.
   (2) The language shall be Chinese. The documents shall be signed by the legal representative or duly authorized representative with company seal.
   (3) The Application Documents shall be submitted in one origin and three copies.
7. Intellectual Rights:
   The Intellectual Rights of prized proposals belong to the Owner. The Owner has the right to publish the proposals on magazines, newspaper and other kinds of media for demonstration purpose.
8. Disputes:
   The Collection will be carried out fairly, openly and impartially. Any dispute arises shall be settled through amicable negotiation or submitted to arbitration under the existing laws and regulations of the People¡¯s Republic of China. It can also be settled through amicable negotiation under the international practice.
9. Right of Interpretation:
   The Owner reserves the right of interpretation of the Collection.
